Terms of Use

Version 1.0 · effective 2026-07-04

These Terms of Use (the "Terms") govern your use of the public ICHOR website operated by ServiceGuru AI LLC, a Utah limited liability company ("ServiceGuru," "we," "us," "our"). They apply to this marketing and information Site only. They are not the agreement that governs a client engagement; access to any client environment is provisioned separately and is governed by its own executed agreement.

1 · Acceptance

By accessing or using the Site, you agree to these Terms. You agree that your use of the Site constitutes your electronic acceptance under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. §7001 et seq.) and the Uniform Electronic Transactions Act as adopted in the applicable jurisdiction, with the same legal force as a handwritten signature. If you do not agree, do not use the Site.

2 · Definitions

"Site" means the public ICHOR website at this domain, including its pages, text, graphics, and interactive elements.

"ICHOR" means the platform operated by ServiceGuru AI LLC and its associated engines, models, and methods. ICHOR LLC is the intellectual-property holder.

"the Corpus" means the proprietary structured model of an industry, its objects, relationships, scores, and derived intelligence, together with the methodology that produces it.

"Proprietary Methods" means the models, scoring logic, decision layer, data-rights model, and methodology behind ICHOR and the Corpus, whether or not any part is described on the Site.

"Confidential Information" means any non-public information made available through the Site, whether or not marked, including any non-public detail of the Proprietary Methods.

3 · Authorized use

We grant you a limited, personal, non-exclusive, non-transferable, revocable permission to view the Site for your own lawful, informational purposes. You will not, and will not permit or assist anyone to:

As between you and us, we and our licensors own all right, title, and interest in the Site, ICHOR, the Corpus, the Proprietary Methods, and all related content, trademarks, and marks. These Terms grant no license to any of them by implication, estoppel, or otherwise, except the limited permission to view the Site stated in Section 3. All rights not expressly granted are reserved.

5 · Confidentiality of non-public material

If you receive any Confidential Information through the Site or through communications with us, you will hold it in confidence, use it only to evaluate a possible engagement with us, and not disclose it to any third party or use it for any other purpose. This obligation is in addition to any separate non-disclosure agreement between us.

6 · Trade-secret acknowledgment

You acknowledge that the Corpus and the Proprietary Methods are our trade secrets within the meaning of the Defend Trade Secrets Act (18 U.S.C. §1836 et seq., defined at §1839) and the Utah Uniform Trade Secrets Act, that they derive independent economic value from not being generally known or readily ascertainable, and that we take reasonable measures to keep them secret, including access controls, the client access gate, confidentiality terms, and disclosing only what is described on the Site. Nothing on the Site discloses the Proprietary Methods.

7 · Trade-secret whistleblower notice (18 U.S.C. §1833(b))

Under the Defend Trade Secrets Act, an individual shall not be held criminally or civilly liable under any federal or state trade-secret law for the disclosure of a trade secret that is made (i) in confidence to a federal, state, or local government official, directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (ii) in a complaint or other document filed under seal in a lawsuit or other proceeding.

8 · No professional advice; no offer

The Site is for general information about ICHOR. Nothing on it is legal, financial, tax, accounting, or investment advice, and nothing on it is an offer or solicitation to buy or sell any security or to enter into any transaction. Any engagement is subject to a separate written agreement, and any figures, coverage counts, or illustrations shown on the Site are indicative and may change.

9 · No warranty; your own diligence

The Site and its contents are provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Site will be uninterrupted or error-free, or that any information on it is complete or current. You are responsible for your own diligence before acting on anything you read here.

10 · Limitation of liability

To the fullest extent permitted by law, ServiceGuru AI LLC and its affiliates, members, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site, whether based in contract, tort, or any other theory, even if advised of the possibility. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed the greater of (a) the amounts, if any, you paid us to access the Site in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain of these limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law.

11 · Third-party links and communications

The Site may reference third-party services or link to email. We are not responsible for third-party content or services, and any communication you send us is subject to our Privacy Notice. Do not send us confidential or sensitive information through an unsolicited inquiry.

12 · Governing law; venue; jury waiver

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The state and federal courts located in Salt Lake County, Utah have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you irrevocably consent to that personal jurisdiction and venue and waive any objection based on inconvenient forum. Each party waives any right to a jury trial in any such dispute.

13 · Severability and reformation

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or modified by the court to the minimum extent necessary to make it enforceable and to reflect the parties' intent, and if it cannot be so modified it will be severed; in either case the remaining provisions stay in full force and effect.

14 · Changes; general

We may update these Terms; the version and date above will change, and your continued use of the Site after an update constitutes acceptance of the updated Terms. These Terms are the entire agreement regarding your use of the Site and supersede prior understandings on that subject. No waiver is effective unless in writing, and a failure to enforce is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Headings are for convenience only.
